Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of Clipify, a creator-program and payout platform operated by FaceIQ Labs, Inc., a Delaware corporation (“Clipify,” “FaceIQ Labs,” “we,” “us,” or “our”). By creating an account, accepting these Terms, joining a campaign, submitting content, operating a brand workspace, or otherwise using Clipify, you agree to be bound by these Terms.
If you are accepting these Terms for an organization, brand, agency, or other entity, you represent that you have authority to bind that entity. If you do not agree, do not use Clipify.
01Clipify's role
Clipify provides software that helps brands operate creator programs: campaign setup, creator onboarding, content submission, review, metric tracking, earnings calculation, payout requests, payment-rail routing, audit logs, and related operational tools.
Unless a campaign expressly names FaceIQ Labs as the sponsoring brand, Clipify is a platform provider and payment-orchestration tool, not the creator's employer, agent, manager, union, fiduciary, bank, escrow agent, broker, money transmitter, or tax adviser.
02Accounts and eligibility
You may use Clipify only if all of the following are true:
- You are at least 18 years old and old enough to enter binding contracts in your jurisdiction.
- You provide accurate account, identity, tax, region, social-account, workspace, and payout information.
- You are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of a sanctioned or unsupported jurisdiction, person, or entity.
- You are not barred from using Clipify by law, payment-processor rules, social-platform rules, or a previous suspension or ban.
You are responsible for your account credentials and all activity under your account. You may not sell, rent, transfer, share, or operate an account for someone else without our written permission.
03Legal acceptance records
We may require you to affirmatively accept these Terms and our Privacy Policy before accessing authenticated product surfaces. For audit and enforcement purposes, we may record the document versions accepted, acceptance timestamp, IP address, user agent, account identifier, and related metadata. Continuing to use Clipify after an updated legal document takes effect means you accept the updated document.
04Brand workspaces
Brand and agency users are responsible for the legality, accuracy, and funding of the campaigns they create. A payout-capable workspace must complete the verification, KYB/KYC, payment, and risk-review steps we or our payment partners require.
You represent that each campaign brief, asset, reward configuration, instruction, target, and claim you provide is lawful, non-deceptive, does not infringe third-party rights, and can be performed without requiring creators to violate platform rules or advertising law. Political, public-affairs, regulated-product, financial, health, adult, gambling, or government-adjacent campaigns may require manual approval and may be rejected or suspended.
05Creator participation
Creators participate as independent contractors or independent content publishers. No employment, agency, partnership, joint venture, franchise, or fiduciary relationship is created by these Terms.
You are responsible for creating lawful, original content; complying with each campaign's rules; following the terms of TikTok, YouTube, Instagram, Stripe, crypto-wallet providers, and any other third-party service you use; and making any legally required advertising, sponsorship, affiliate, or material-connection disclosures in a clear and conspicuous manner.
06Submission rules
A submission is eligible for review only if it satisfies the applicable run, campaign, format, platform, region, posting-window, ownership, content, and verification requirements shown in Clipify or otherwise provided by the brand. Unless we expressly approve otherwise, you must submit only content posted by an account you own or are authorized to control.
We and the relevant brand may reject, recall, close, expire, reduce, or disqualify a submission if it does not meet campaign requirements, cannot be verified, appears unsafe or deceptive, infringes rights, violates platform rules, contains prohibited content, was submitted outside the required window, or creates legal, reputation, fraud, or operational risk.
07Metrics and rewards
Earnings are calculated from the measurement methods, reward rules, budget rules, region rules, payout method rules, and review decisions configured for the relevant run. Metrics may come from public pages, connected social accounts, platform APIs, trusted data providers, manual review, screenshots, or other evidence we reasonably accept.
Estimated earnings, previews, dashboards, leaderboards, and projected payout amounts are not guarantees. Final eligibility and payout amounts depend on review, fraud checks, budget state, minimum thresholds, posting windows, metric availability, processor availability, and the final records in our systems.
Once a payout request closes or freezes selected submissions, later metric increases may not increase the payout for those submissions. We may correct obvious calculation, attribution, duplicate-claim, processor, or data-provider errors.
08Prohibited conduct
You must not, directly or indirectly:
- Use bots, click farms, paid views, engagement pods, fake accounts, automated traffic, incentivized traffic, deceptive redirects, or any other artificial metric-inflation method.
- Buy, sell, rent, borrow, share, or misrepresent social accounts, payout accounts, identity documents, region information, tax information, wallet addresses, or account access.
- Submit stolen, recycled, unauthorized, misleading, deepfake, infringing, illegal, hateful, harassing, adult, dangerous, or otherwise prohibited content.
- Create multiple accounts, coordinate accounts, evade limits, circumvent a ban, hide ownership, or use VPNs/proxies/geolocation manipulation to misrepresent eligibility, region, or source of traffic.
- Tamper with Clipify, scrape non-public data, attack our systems, reverse engineer private APIs, interfere with other users, or bypass security, rate limits, review queues, payout gates, or audit trails.
- Make false claims about a brand, product, campaign, payment, disclosure, endorsement, or relationship with Clipify.
09Enforcement and forfeiture
We may investigate suspected violations using account records, social metrics, platform data, payment records, IP and device data, submission history, public evidence, creator communications, brand reports, data-provider signals, and manual review. During an investigation, we may hold payouts, freeze submissions, disable payout requests, suspend accounts, restrict workspace access, or require additional verification.
If we determine, in our reasonable discretion, that you are responsible for fraud, artificial engagement, misrepresentation, prohibited conduct, or another material violation, then, to the maximum extent permitted by law, we may permanently ban you and forfeit all unpaid earnings. This includes pending payout requests, accrued but unrequested balances, approved but undispatched payouts, leaderboard prizes, bonuses, region-adjusted earnings, and any other unpaid reward connected to past, current, or suspected submissions.
If a payout has already been sent before the violation is discovered, we may reverse, offset, claw back, deduct from future amounts, or seek reimbursement for amounts tied to the violation, plus reasonable investigation, chargeback, processor, and recovery costs. Prior review, approval, dashboard display, or payment does not waive our enforcement rights.
If an account is terminated in good standing, eligible unpaid earnings that have passed review and processor checks will be handled through the normal payout process, subject to minimum thresholds, fees, identity checks, tax checks, and legal restrictions.
10Payouts and taxes
Payouts may be issued through Stripe Connect, crypto rails, PayPal, or other methods we support. Availability depends on your country, identity verification, tax status, payment-provider rules, sanctions screening, workspace funding, minimum thresholds, and our risk controls. We do not guarantee that every payout method will be available to every user.
You are responsible for all taxes, reporting, forms, invoices, wallet addresses, banking information, and payment details connected to your earnings. Crypto transfers are irreversible once sent to the wallet address you provide. Payment providers may delay, reject, reverse, freeze, or require additional verification for payments; we are not responsible for third-party processor failures outside our control.
We may apply minimum payout thresholds, region multipliers, payout method handling fees, currency conversion, processor deductions, withholding, refunds, reversals, or other adjustments disclosed in the product or required by law.
11Brand funding
If you operate a payout-capable workspace, you authorize Clipify and our payment partners to route campaign payouts, refunds, credits, fees, and adjustments according to your campaign configuration and our platform rules. You are responsible for maintaining sufficient funds and for reimbursing Clipify for reversals, chargebacks, refunds, processor fees, taxes, claims, and losses arising from your campaigns or instructions.
12Content license
You retain ownership of content you submit or connect. By submitting, linking, uploading, or approving content in Clipify, you grant Clipify, the relevant brand, and our service providers a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, store, process, display, reproduce, adapt, excerpt, analyze, moderate, report on, and otherwise use that content, your handle, profile information, likeness as included in the content, and public metrics as necessary to operate Clipify, administer campaigns, calculate rewards, prevent fraud, resolve disputes, produce invoices and audit records, and show campaign performance.
Unless a campaign's written terms say otherwise, this license does not give a brand a perpetual right to run your content as paid advertising outside the campaign's ordinary reporting and organic promotional surfaces. Brand whitelisting, paid usage, exclusivity, or buyout rights must be stated separately.
13Brand assets
Brands retain ownership of their names, logos, campaign briefs, formats, instructions, templates, assets, confidential information, and other materials. Creators may use brand materials only as permitted by the relevant campaign and must stop using them when the campaign ends, the submission is rejected, or access is revoked.
14Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect information. It is incorporated into these Terms. You must not submit personal information about another person unless you have the right to do so and your submission complies with law and platform rules.
15Third-party services
Clipify relies on social platforms, payment processors, infrastructure providers, analytics providers, data providers, wallets, banks, and other third-party services. Your use of those services is subject to their own terms and policies. We are not responsible for third-party outages, API changes, data discrepancies, account restrictions, processor holds, platform removals, wallet mistakes, or policy decisions.
16Platform changes
We may add, remove, suspend, or modify any feature, campaign, reward structure, payout method, fee, region rule, metric source, review process, supported country, workspace type, or eligibility requirement at any time. We will use reasonable efforts to avoid retroactive changes to already-closed payouts except where needed for fraud, illegality, technical error, processor reversal, or legal compliance.
17Confidentiality
Non-public product data, campaign settings, creator performance data, pricing, payout configurations, security information, credentials, API tokens, admin exports, and workspace records may be confidential. You may use confidential information only to participate in or operate the relevant Clipify workspace and may not disclose it except as authorized by us or the relevant brand.
18Disclaimers
Clipify is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, accuracy of metrics, availability of payouts, or campaign results.
19Liability limits
To the maximum extent permitted by law, FaceIQ Labs will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, punitive, or lost-profit damages, or for lost earnings, lost data, lost business, reputational harm, payment delays, processor holds, platform changes, API outages, or unauthorized third-party conduct.
To the maximum extent permitted by law, our aggregate liability for all claims relating to Clipify will not exceed the greater of (a) one hundred U.S. dollars, or (b) the net platform fees you paid to Clipify in the three months before the event giving rise to the claim. For a creator who paid no platform fees, this limit is one hundred U.S. dollars.
20Indemnity
You will defend, indemnify, and hold harmless FaceIQ Labs, its officers, directors, employees, contractors, affiliates, service providers, and partners from claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable attorneys' fees, arising from your content, campaigns, submissions, instructions, payment details, tax obligations, workspace activity, violation of these Terms, violation of law, or violation of third-party rights.
21Disputes
These Terms are governed by Delaware law, without regard to conflict-of-laws rules. Before filing a claim, you agree to email legal@faceiqlabs.com and try to resolve the dispute informally for 30 days. Any dispute that cannot be resolved informally will be resolved by binding arbitration on an individual basis, except where applicable law does not permit arbitration or where either party seeks injunctive relief for misuse of intellectual property, confidential information, or platform systems. Class actions and representative proceedings are waived to the maximum extent permitted by law.
